These Terms & Conditions (“Terms”) govern your access to and use of VoiceCallingAI, a voice-based AI calling platform operated by Chatflare Private Limited (“we”, “us”, “our”, or the “Company”), located at 409, shail complex, Chimanlal Girdharlal Rd, behind GIRISH COLD DRINKS, Mithakhali, Navrangpura, Ahmedabad, Gujarat 380006, India. “VoiceCallingAI”, the “Platform”, or the “Service” refers to the website, dashboard, APIs, and AI calling services we provide.
By creating an account, purchasing credits, or using the Service, you (“you”, the “Customer”) agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Service.
1. Eligibility and account
You must be at least 18 years old and use the Service for lawful business purposes only. You are responsible for the accuracy of your account information, for keeping your login credentials secure, and for all activity that occurs under your account. You may not resell or sublicense the Service without our written consent.
2. The Service
VoiceCallingAI provides AI-powered voice agents that place and receive telephone calls on your behalf in Indian languages, together with related dashboard, analytics, and integration features. The Service relies on telephony, speech, and AI models, including those of third-party providers. Outputs are generated by automated systems and may contain errors; you are responsible for reviewing and approving how you use the Service.
3. Credits, plans, and billing
- The Service is sold on a credit and subscription basis. One (1) credit equals ₹1 (one Indian Rupee). Calls and certain features consume credits based on usage (for example, per minute of call time) at the rates shown on our Pricing page.
- Subscription plans are billed in advance for the stated period. Prices are in Indian Rupees and exclude Goods and Services Tax (GST), which is added at the prevailing rate (currently 18%) and shown on your invoice.
- A one-time starter pack, where offered, provisions a phone number and a fixed number of credits as described at the time of purchase.
- You authorise us and our payment processor to charge your selected payment method for all applicable fees. You are responsible for all taxes other than taxes on our income.
- Credits and fees are subject to our Cancellation & Refund Policy.
4. Acceptable use and your compliance responsibilities
You are solely responsible for how you use the Service and for the content, purpose, and recipients of every call you make through it. You agree that you will:
- Obtain all consents required by law from the people you call, and honour their requests to opt out or not be contacted.
- Comply with all applicable laws and regulations, including the regulations of the Telecom Regulatory Authority of India (TRAI), the Telecom Commercial Communications Customer Preference Regulations (TCCCPR) and Do-Not-Disturb (DND) rules, DLT registration requirements for commercial communications, and the Digital Personal Data Protection Act, 2023.
- Include any legally required disclosures in your calls, including that a call is being recorded and/or conducted with the assistance of an AI agent, where such disclosure is required.
- Not use the Service for any unlawful, fraudulent, deceptive, abusive, harassing, or misleading purpose; for unsolicited spam; for impersonation; for collecting sensitive information without authority; or in any way that infringes the rights of others.
We may, without liability, suspend or limit your use of the Service if we reasonably believe it is being used in violation of this section or in a manner that poses a legal, security, or reputational risk.
5. Your data and the people you call
As between you and us, you own the content you upload (such as contact lists and scripts) and the recordings and transcripts of your calls. For the personal data of the people you call, you act as the Data Fiduciary and we act as a Data Processor, processing that data only on your instructions, as further described in our Privacy Policy. You are responsible for having a lawful basis to process that data and to use our Service to contact those individuals.
6. Intellectual property
The Platform — including its software, design, models, and content (excluding your data) — is owned by us or our licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You may not copy, modify, reverse-engineer, or create derivative works of the Platform.
7. Third-party services
The Service integrates third-party providers for telephony, speech recognition and synthesis, AI models, hosting, and payments. Your use of the Service may also be subject to those providers’ terms. We are not responsible for the acts or omissions of third-party providers.
8. Availability and disclaimers
We aim to provide a reliable Service but do not guarantee that it will be uninterrupted or error-free, or that AI outputs will be accurate or fit for a particular purpose. To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied.
9. Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the total fees you paid to us in the three (3) months immediately preceding the event giving rise to the claim.
10. Indemnity
You agree to indemnify and hold us harmless from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your calls and content, or your breach of these Terms or of applicable law.
11. Suspension and termination
You may stop using the Service and cancel your subscription as described in our Cancellation & Refund Policy. We may suspend or terminate your access for breach of these Terms, non-payment, or for legal or security reasons. On termination, your right to use the Service ends; provisions that by their nature should survive (including those on payment, intellectual property, disclaimers, liability, and indemnity) will survive.
12. Changes to these Terms
We may update these Terms from time to time. We will post the updated version with a new “Last updated” date and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance.
13. Governing law and jurisdiction
These Terms are governed by the laws of India. The courts at Ahmedabad, Gujarat will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
